Terms of Service: No refunds once work begins. Unless otherwise specified, this agreement does not include costs of any possible 3rd party software. Any software/scripts developed by IDS will be covered under different pricing and agreements. Any software developed by IDS is owned exclusively by IDS. Any license agreements shall be for usage exclusively on client Miva stores and transfer or (re)distribution is strictly prohibited. Work deemed out of scope will be identified for an agreement extension or will be billed at the current hourly rate unless a new quote is deemed. Any work required as a result of any Miva software upgrade is also deemed Out of Scope.
Indemnity: You hold harmless Interactive Design Solutions (IDS), Southbound.com, and Scott D. Shepard, or the owner and agents free from any liabilities from any content or media presented or made available at this web site, or for services performed on the client web site.
Consultant: IDS and agents are not employees of the Client and have sole discretion for how any work product or task is created and performed.
Payment Terms: Preferred payment is company or certified check, or ACH. CC/Paypal payments are subject to 3.1% handling fee. Please notify IDS prior and an appropriate invoice will be created for you. If applicable: retainers must be prepaid 100% unless otherwise stated. If applicable: On time payment is received within 10 days of conclusion of SOW. Late payment is defined after 10 days of conclusion and subject to 20% of total late fee per 10-day periods. Returned checks by financial institutions are subject to a minimum $40.00 or incurred bank charges to IDS, whichever is greater. Returned checks are also deemed as “not received” and may be subject to late fees.
Additional: Details not covered in this document shall be in writing including email. Unless there is a new or extended retainer, Retainer hours must be used within 60 calendar days. Time not used will be converted to Standard rate. Any remaining time less than 1 hour will be considered zero-time balance. Any Bonus Hours are considered expired at 60 calendar days regardless and not used in time recalculated at standard rate.
